Buried in the section of Vijay Sales' FAQ headed "No Reselling of Products and Services" is a sentence that matters to anyone buying at volume. The company "reserves the right to cancel bulk orders without prior notice and refund the balance amount after the deduction of processing fees (up to 4% on Invoice value, depending on the card use for this transaction) either done together or done through multiple orders."

Up to 4% deducted from a refund on an order you did not cancel

This is the clause worth knowing before anyone buys six of anything from Vijay Sales. Verbatim, from the "No Reselling of Products and Services" section of its FAQ: "Vijay Sales (India) Pvt. Ltd. reserves the right to cancel bulk orders without prior notice and refund the balance amount after the deduction of processing fees (up to 4% on Invoice value, depending on the card use for this transaction) either done together or done through multiple orders."

Three things are being reserved there at once. The right to cancel; the right to do so without notice; and the right to keep up to 4% of the invoice value when refunding. On a Rs. 2,00,000 order that is up to Rs. 8,000 retained on a cancellation the buyer did not initiate.

The amount is tied to payment method - "depending on the card use for this transaction" - and 4% is stated as a ceiling rather than a flat rate. The FAQ does not publish a schedule of which cards attract what.

Reserving rights of this kind is standard drafting for Indian retailers managing trade purchases, and nothing on this page suggests otherwise. It is published terms, reported as published.

Splitting a large purchase into several smaller orders does not take it outside this clause. The wording covers purchases "either done together or done through multiple orders" - so three orders of four units are treated the same way as one order of twelve. Who the clause is aimed at - and who it explicitly is not

The 4% clause sits inside a section headed "No Reselling of Products and Services", and the section opens by defining its audience: "You (B2B, Dealers) agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service."

Retail buyers are then carved out by name. "Refund of bookings by customers for individual use or gifting purposes will not be impacted by Vijay Sales."

So a household buying two air conditioners for a flat, or a dozen gift items in December, is on the stated retail side of the line. The terms do not define a unit count or a rupee value at which an order becomes "bulk", which is the main practical uncertainty for a buyer sitting near the boundary - a small business ordering ten identical items for an office, say.

One further exclusion follows immediately: "Loyalty points are not applicable to bulk buyers, dealers, and resellers." Vijay Sales' MYVS Rewards programme pays 0.75% of the purchase value back as points, so a trade buyer forgoes that as well.

The delivery is where a discrepancy has to be raised

For anyone taking in several boxes at once, this is the operative sentence. "As a policy on receipt of product, we request that you check and confirm the contents while accepting the delivery. Discrepancies, if any, must be brought to our notice, after which no further queries would be entertained."

That matters more on a multi-unit order than on a single purchase, because the thing most likely to go wrong on twelve boxes - one missing, one swapped, an accessory absent from a carton - is exactly the sort of discrepancy this clause expects to be caught while the delivery is still in front of you.

The warranty is the manufacturer's, and the product liability is too

Vijay Sales is explicit that it sells the goods and the maker stands behind them. "For all products procured from www.vijaysales.com, warranty and service are provided by the manufacturing companies through their authorised service providers in India."

The disclaimer section goes further: "Vijaysales.com will not be held liable for any damaged goods or injuries arising from the using the same. Warranties of products are provided by the Manufacturers and are liable for the same. Product information available on our website would be limited to the information given by the Manufacturer to us. Actual dimensions and colors may differ from the images shown on our website."

For a trade buyer that last sentence is the practical one - dimensions and colours on the site are the manufacturer's figures passed through, and the terms state they may differ from what arrives. On a single fridge that is a nuisance; on twelve units specified to fit a cabinet run, it is a reason to confirm dimensions with the manufacturer before ordering.

Vijay Sales also disclaims responsibility for errors in its own product data, and asks to be told: "discrepancies, if any, may arise due to inaccurate/incomplete information given suppliers or external sources. In case you come across any such information termed inaccurate, we would request you to kindly inform us at onlinesupport@vijaysales.com."

Demonstration and installation run on the manufacturer's clock, not the retailer's. Vijay Sales' FAQ states that "Demonstration is provided by the manufacturing company and is provided on certain products only", that it happens "after a minimum of 4 business days" from delivery, and that "Only the first demonstration would be on a complimentary basis". For split air conditioners, "standard installation charges will apply, payable by the consumer directly to the company's authorized service centre/franchisee".

What a trade buyer should take from this

Vijay Sales' published terms draw a clear line between retail and trade, and the trade side carries three specific costs: an order that can be cancelled without notice, a refund that can arrive up to 4% short of the invoice, and no loyalty points on any of it.
